Terms of Service
Last updated: 9 October 2026
1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you and CYBERGLASS Pty Ltd (ABN 76 682 310 023), trading as Lylac ("CYBERGLASS", "we", "us", "our"). By accessing or using the Lylac platform ("Platform"), you agree to these Terms. If you do not agree, you must not use the Platform.
If you have entered into a separate Enterprise or other written agreement with CYBERGLASS for use of the Platform, that agreement governs your use to the extent of any inconsistency with these Terms.
2. Eligibility
You must be at least 18 years old to create an organisation, host or manage events, or otherwise use the Platform as an organiser. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Attendees may be under 18 where the organisation running the event permits it. That organisation is responsible for deciding whether its event is suitable for people under 18, for obtaining any consent the law requires from a parent or guardian, and for those attendees' participation in the event.
3. Accounts
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate and complete information when creating an account.
- You must promptly notify us if you suspect any unauthorised access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Organisations and roles
The Platform allows you to create and manage organisations. Organisation owners and administrators are responsible for managing team members, assigning roles, and ensuring their organisation's use complies with these Terms. Role-based permissions (owner, admin, editor, viewer) govern what actions each member can perform.
5. Events and attendees
Organisations may create events and invite attendees. Event organisers are responsible for the content of their events, including activities, speaker information, polls, and any user-generated content submitted through features such as Moments. Attendee capacity is subject to the limits of your subscription plan or any applicable Boosts.
You are responsible for ensuring you have the right to enter attendee, speaker, and invitee information into the Platform, including for use with the AI assistant, and for giving those individuals any notice required by law.
6. Acceptable use
You agree not to:
- use the Platform for any unlawful purpose;
- upload, post, or transmit content that is defamatory, obscene, fraudulent, or infringes the rights of others;
- attempt to gain unauthorised access to any part of the Platform or its systems;
- interfere with or disrupt the Platform's infrastructure;
- scrape, crawl, or use automated means to access the Platform without our written consent;
- use the AI assistant to generate content that is unlawful, harmful, or that encourages self-harm, or attempt to circumvent its safeguards;
- impersonate another person or entity.
We may remove content and suspend accounts that violate this section at our sole discretion.
7. AI assistant
The Platform includes an AI assistant that generates responses and proposed actions using a machine learning model. Responses may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing them before relying on them, publishing them, or sending them to others.
Changes made through the assistant are made on your instruction and with your approval, and are treated as changes made by you. The assistant is not a substitute for professional advice.
We may change, limit, suspend, or withdraw the assistant at any time, including to protect the Platform or comply with law.
Our Privacy Policy explains what data the assistant uses and where it is processed.
8. Subscriptions and payments
- Paid plans are billed in advance on a recurring basis (monthly or annually) in Australian Dollars (AUD), and all prices include GST. Boost add-ons are one-time purchases that apply to a single event.
- Auto-renewal: paid plans renew automatically at the end of each billing period at the then-current price, unless you cancel before renewal. You can cancel at any time from your organisation settings; cancellation takes effect at the end of the current billing period, and you continue to have access until then.
- Payments are processed by Stripe. By providing payment information, you authorise us (through Stripe) to charge the applicable fees, and you agree to Stripe's terms applicable to you.
- You may upgrade or downgrade your subscription at any time from your organisation settings. Downgrades take effect at the end of the current billing period.
- We may change the fees for paid plans from time to time. We will give you reasonable notice of any price change before it applies to your next renewal, and you may cancel before the change takes effect.
- Refunds are handled in accordance with our obligations under the Australian Consumer Law. If you believe you are entitled to a refund, please contact us.
9. Ticketing
Organisations can sell tickets to their events through the Platform. This section applies to buyers and to organisations that sell tickets ("organisers").
Who sells the ticket
When you buy a ticket, you buy it from the organiser running the event, not from CYBERGLASS. Your payment is made to the organiser's own Stripe account. The organiser is responsible for the event, for the ticket and for refunds. CYBERGLASS provides the Platform the sale is made through and receives a fee from each paid ticket.
Buying a ticket
- Price: prices are in Australian Dollars. The price shown for a ticket is the total you pay, including any booking fee. The booking fee is the same whichever card you pay with.
- Holding your place: when you start checkout we hold a place for you for a limited time. If you do not finish paying in that time, the place is released. If your payment reaches us after the place has been taken by someone else, we refund it in full.
- Your ticket: a ticket is linked to the account that bought it and cannot be transferred through the Platform. State laws restrict reselling tickets for more than their original price, including in New South Wales and for declared major events in Victoria.
- Refunds: refunds are handled by the organiser under their refund policy and the Australian Consumer Law. Nothing in an organiser's policy or in these Terms limits your rights under the Australian Consumer Law. If an event is cancelled, you are entitled to a full refund, including the booking fee. If you cannot get a refund you are entitled to, contact us.
- Cancelled tickets: if your payment is refunded in full, or you dispute the charge with your card provider and the dispute is decided in your favour, your ticket is cancelled and your place is released.
Selling tickets
- Stripe: payment processing services for organisers on Lylac are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to sell tickets on Lylac, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. As a condition of CYBERGLASS enabling payment processing services through Stripe, you agree to provide CYBERGLASS accurate and complete information about you and your business, and you authorise CYBERGLASS to share it and transaction information related to your use of the payment processing services provided by Stripe.
- Our fee: for each paid ticket, CYBERGLASS takes a fee from the payment. The fee is 1.5% plus 50 cents on the Free plan, 0.5% plus 25 cents on the Team plan, and 0.25% plus 10 cents on the Enterprise plan unless your Enterprise agreement sets a different rate. Our fee includes GST. Stripe's own processing fees are charged to your Stripe account. Free tickets carry no fees. When a payment is refunded in full, our fee is refunded with it. We will give you reasonable notice before changing our fee, and a change never applies to tickets already sold.
- Booking fee: by default the buyer pays a booking fee that covers our fee and Stripe's processing fee for an Australian card, so you receive the ticket price. When a buyer pays with an overseas card, Stripe's higher fee for that card comes out of your share. You can turn this off for an event and pay those fees from the ticket price instead.
- Your obligations: you are the seller of your tickets. You must describe your event and tickets accurately, comply with the Australian Consumer Law and any ticket resale laws that apply to your event, and account for any GST and issue any tax invoices required on your ticket sales.
- Refund policy: your refund policy must be consistent with the Australian Consumer Law. It must not say or imply that buyers cannot get a refund where the law gives them one. You must refund every buyer in full, including the booking fee, if you cancel an event, and refund buyers where the Australian Consumer Law otherwise requires it.
- Refunds and disputes: you are responsible for refunds, card disputes and their fees on your ticket sales. When a payment is refunded in full or a dispute is lost, the buyer's ticket is cancelled and the place becomes available again. If we incur a cost because of a refund, dispute or reversal on your sales, you must reimburse us.
- Cancelling or deleting an event: an event with paid tickets cannot be deleted until those tickets are refunded. If you need to cancel an event with paid tickets, contact us and we will help you refund your buyers through your Stripe account.
- Buyer information: you may use the personal information of ticket buyers only to run your event, to handle their tickets and refunds, and as otherwise permitted by the Privacy Act 1988 (Cth).
- Pausing sales: we may pause ticket sales for an event or organisation where we reasonably believe it is necessary to prevent fraud, protect buyers, comply with law, or respond to a material breach of these Terms. Where practicable, we will tell you promptly and explain why.
10. Intellectual property
The Platform, including its design, code, branding, and documentation, is owned by CYBERGLASS and protected by Australian and international intellectual property laws. Lylac is a business name and trade mark of CYBERGLASS Pty Ltd. You retain ownership of the content you upload. By uploading content, you grant us a limited, non-exclusive licence to host, display, and distribute that content as necessary to operate the Platform.
11. Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
12. Consumer guarantees
Certain consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) cannot be excluded. Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the ACL or any other legislation that cannot be excluded by agreement. If the Platform fails to meet a consumer guarantee, you may be entitled to a remedy including repair, replacement, or refund depending on the nature and severity of the failure.
13. Disclaimers
Except for the consumer guarantees and any other rights under the Australian Consumer Law that cannot be excluded, the Platform is provided on an "as available" basis. To the maximum extent permitted by law, we make no other warranties, express or implied, about the Platform. We do not guarantee that the Platform will be uninterrupted, error-free, or free of harmful components.
14. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claims arising out of or in connection with the Platform or these Terms is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) ten Australian dollars (A$10). We are not liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, revenue, data or goodwill.
Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.
15. Indemnification
You agree to indemnify CYBERGLASS against third-party claims, losses or costs (including reasonable legal costs) to the extent they arise from:
- content you submit to the Platform infringing the intellectual property, privacy, or other rights of a third party, or being defamatory or otherwise unlawful;
- your breach of these Terms; or
- your unlawful or unauthorised use of the Platform.
This indemnity does not apply to the extent a claim is caused or contributed to by our acts, omissions, or breach.
16. Termination
- You may close your account at any time through the Platform or by contacting us. If you close a paid plan partway through a billing period, the plan continues until the end of the period you have paid for, and no refund is given for the unused portion (subject to your rights under the Australian Consumer Law).
- We may suspend your access where we reasonably believe it is necessary to protect the Platform, our users, or a third party (for example, suspected fraud, security risk, payment default, or unlawful use). Where practicable, we will let you know promptly.
- We may terminate your account for material breach of these Terms that you do not remedy within a reasonable period after written notice, or for any other reason on reasonable written notice. If we terminate for a reason other than your breach, we will refund any pre-paid fees for the unused portion of your current billing period.
- On termination, your right to use the Platform ceases. We will retain your data for a reasonable period to allow you to export it. After that, we may delete or de-identify your data consistent with our Privacy Policy.
- Survival: clauses that by their nature should survive termination (including intellectual property, indemnity, limitation of liability and dispute resolution) continue to apply.
17. Events beyond our control
Neither party will be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) to the extent caused by events beyond its reasonable control - for example, natural disasters, war, civil unrest, acts of government, network or infrastructure failures affecting our service providers, or widespread outages of internet, power, or telecommunications services. The affected party will let the other know as soon as reasonably practicable. If the event continues for an extended period, either party may terminate these Terms by written notice without further liability.
18. Governing law
These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction over any dispute arising under or in connection with these Terms.
19. Changes to these Terms
We may update these Terms from time to time. For material changes, we will give you reasonable notice before they take effect, through the Platform or by email. If you do not agree to the revised Terms, you may close your account before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
20. General
- Severability - If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.
- Entire agreement - These Terms, together with our Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and CYBERGLASS regarding the Platform.
- Waiver - Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment - Neither party may assign these Terms without the other's consent, which will not be unreasonably withheld. However, we may assign these Terms in connection with a merger, acquisition, restructure, or sale of substantially all our assets, provided the assignee assumes our obligations.
